A shared governance

Our governance structure is designed to be robust and effective, following international best practices with two distinct bodies: one responsible for strategic direction and the other for management.

Decisions are made on an equal footing: half of the representatives come from the banking foundations and the other half from the third sector. Both bodies are chaired by the President, an independent figure who ensures balance among the Foundation’s governing bodies and guarantees efficiency and decisiveness in operational activities.

Governance

The Board of Founders

Appoints the Steering Committee, the Board of Directors, the Board of Statutory Auditors, and the Independent Auditor.

The Steering Committee

Defines the strategic guidelines for managing the Foundation's assets, as well as the general criteria and procedures governing its grantmaking activities.

The Board of Directors

Oversees the management of the Foundation and appoints the Executive Director, who is responsible for the Foundation's organizational structure and ensures that resolutions passed by the governing bodies are carried out.

The Board of Statutory Auditors

Oversees compliance with the law and the Foundation's statutes, ensuring adherence to sound administrative practices; financial auditing is entrusted to an Independent Auditor.

Our leadership and governance

The members of the governing bodies are composed in equal parts of representatives from the banking foundations and from third-sector organizations, with the President serving as an independent figure.

A participatory and transparent model

Since 2011, we have adopted an organizational, management, and control model pursuant to Italian Legislative Decree 231/2001.

Our Code of Ethics explicitly states (Article 4) that all our activities must be guided by honesty, integrity, loyalty, fairness, and respect for individuals. It also reaffirms our commitment to transparency, fairness, and accuracy in our relationships with all stakeholders (Article 7).

We have also adopted a Child Safeguarding Policy, which commits us to greater care and responsibility toward children and young people who may be involved in the implementation of our activities.

Our organizational structure is divided into four main areas: Executive Office, Finance & Administration, Programmes Office, and Communications Office (Press and Social Media).
